عميل مؤسسي

يُقصد به أي من الآتي بيانهم: أ" حكومة المملكة، أو أي هيئة دولية تعترف بها الهيئة. ب" الشركات المملوكة بالكامل للدولة أو لأي جهة حكومية، مباشرة أو عن طريق محفظة تديرها مؤسسة سوق مالية مرخص لها في ممارسة أعمال الإدارة. ج" أي شخص اعتباري يتصرف لحسابه الخاص، على أن يكون أي من الآتي: 1" شركة تملك، أو عضوًا في مجموعة تملك أصولًا صافية تزيد على خمسين مليون ريال سعودي. 2" شراكة غير مسجلة، أو أي شركة تضامن، أو منشأة أخرى تملك أصولًا صافية تزيد على خمسين مليون ريال سعودي. 3" شخص يتصرف بصفة عضو مجلس إدارة، أو مسؤول، أو موظف لدى شخص اعتباري ويكون مسؤولًا عن أي نشاط أوراق مالية لديه، عندما ينطبق على ذلك الشخص الاعتباري التعريف الوارد في الفقرة "ج/1" أو "ج/2". د" شركة مملوكة بالكامل لشخص اعتباري يستوفي أحد المعايير الواردة في الفقرتين "ب" أو "ج". ه" صندوق استثمار. و" طرفًا نظيرًا.

Means any of the following: a. the Government of the Kingdom or any supranational authority recognised by the Authority. b. companies fully owned by the government or any government entity, either directly or through a portfolio managed by a Capital Market Institution authorised to carry on managing business. c. any legal person acting for its own account and be any of the following: 1" a company which owns, or is a member of a group which owns, net assets of more than 50 million Saudi Riyals; 2" an unincorporated body, partnership company or other organisation which has net assets of more than 50 million Saudi riyals. 3" a person acting in the capacity of director, officer or employee of a legal person and responsible for its securities activity, where that legal person falls within the definition of paragraph "c/1" or "c/2". d. a company fully owned by a legal person who meets the criteria of paragraph "b" or "c". e. an investment fund. f. a counterparty.
