مستشار مالي مستقل

1. يقصد به في لائحة الاندماج والاستحواذ: مستشار مالي مرخص من قبل الهيئة يكون مستقلًا عن الشخص الذي قام بتعيينه "سواءً أكان العارض أم الشركة المعروض عليها أو أي شخص آخر يجب عليه تعيين مستشار مالي مستقل بموجب لائحة الاندماج والاستحواذ". وتشمل الحالات التي يكون فيها المستشار المالي غير مستقل عن الشخص الذي يعتزم تعيينه - على سبيل المثال لا الحصر - الآتي: 1" إذا كان المستشار المالي أو أيٌ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو أيّ شركة تابعة له. 2" إذا كان المستشار المالي أو أيٌ من شركاته التابعة مساهمًا كبيرًا في مسيطر على الشخص الذي عيّنه أو أيّ شركة تابعة له. 3" إذا كان أحد موظفي المستشار المالي المشاركين في تقديم المشورة إلى الشخص مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو أيّ شركة تابعة له. 4" إذا كان أحد كبار مساهمي أو عضو مجلس إدارة المستشار المالي أو أيٍّ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو أيّ شركة تابعة له. 5" إذا كان أحد كبار مساهمي أو عضو مجلس إدارة الشخص الذي عيّنه أو أيٌّ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في المستشار المالي أو أيّ شركة تابعة له. 6" إذا كان الشخص الذي عيّن المستشار المالي أو أيٌّ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في المستشار المالي أو أيّ شركة تابعة له. 7" إذا كان الشخص الذي عيّن المستشار المالي أو أيٌّ من شركاته التابعة مساهمًا كبيرًا في مسيطر على المستشار المالي أو أيّ شركة تابعة له.

   means in the Merger & Acquisition Regulations, a financial advisor who is authorized by the Authority and is independent of its appointor "whether it is the offeror, offeree company or any other person obligated to appoint an independent financial advisor in accordance with the Merger & Acquisition Regulations". Circumstances under which the financial advisor shall not be considered independent of its appointor include, but are not limited to the following: 1" the financial advisor or any of its subsidiaries is a substantial shareholder in the appointor or any of its subsidiaries; 2" the financial advisor or any of its subsidiaries is a substantial shareholder in a controller of the appointer or any of its subsidiaries; 3" an employee of the financial advisor who is involved in the provision of financial advice to the person, is a substantial shareholder in the appointor or any of its subsidiaries; 4" any of the financial advisor's substantial shareholders or board member or in any of its subsidiaries is a substantial shareholders or board member with the appointer or in any of its subsidiaries; 5" any of the appointer's shareholders or board member or in any of its subsidiaries is a substantial shareholders or board member with the financial advisor or in any of its subsidiaries; 6" the appointor or any of its subsidiaries is a substantial shareholder in the financial advisor or any of its subsidiaries; or 7" the appointer or any of its subsidiaries is a substantial shareholder in a controller of the financial advisor or any of its subsidiaries.
