مستشار قانوني مستقل

1. يقصد به في لائحة الاندماج والاستحواذ، مستشار قانوني حاصل على ترخيص في ممارسة المهنة في المملكة يكون مستقلًا عن الشخص الذي قام بتعيينه "سواءً أكان العارض أم الشركة المعروض عليها أو أي شخص آخر يجب عليه تعيين مستشار قانوني مستقل بموجب لائحة الاندماج والاستحواذ" وعن المستشار المالي لذلك الشخص. وتشمل الحالات التي يكون فيها المستشار القانوني غير مستقل عن الشخص الذي يريد تعيينه على سبيل المثال لا الحصر الآتي: 1" إذا كان المستشار القانوني أو أيٌّ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو أي شركة تابعة له أو في المستشار المالي أو أيّ شركة تابعة له. 2" إذا كان المستشار القانوني أو أيٌّ من شركاته التابعة مساهمًا كبيرًا في مسيطر على الشخص الذي عيّنه أو في المستشار المالي أو في أيّ شركة تابعة لأي منهما. 3" إذا كان أحد موظفي المستشار القانوني المشاركين في تقديم الخدمات القانونية إلى الشخص مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو في المستشار المالي أو في أيّ شركة تابعة لأي منهما. 4" إذا كان أيٌّ من شركاء المستشار القانوني أو عضو مجلس إدارة أيٍّ من شركاته التابعة مساهمًا كبيرًا أو عضو مجلس إدارة في الشخص الذي عيّنه أو في المستشار المالي أو في أيّ شركة تابعة لأيٍ منهما. 5" إذا كان أحد كبار مساهمي أو عضو مجلس إدارة الشخص الذي عيّنه أو أيٌّ من شركاته التابعة مساهمًا كبيرًا أو شريكًا أو عضو مجلس إدارة في المستشار القانوني أو أيّ شركة تابعة له. 6" إذا كان الذي عيّن المستشار القانوني أو المستشار المالي أو أيٌّ من شركاتهما التابعة مساهمًا كبيرًا أو عضو مجلس إدارة أو شريكًا في المستشار القانوني أو أيّ شركة تابعة له. 7" إذا كان الشخص الذي عيّن المستشار القانوني أو أيٌّ من شركاته التابعة مساهمًا كبيرًا في مسيطر على المستشار القانوني أو أيّ شركة تابعة له.

   means in the Merger & Acquisition Regulations, a legal advisor who is licensed to practice law in Saudi Arabia and is independent of its appointor "whether the offeror, offeree company or any other person obligated to appoint an independent legal advisor in accordance with the merger & acquisition regulations" and independent of the appointor’s financial advisor. circumstances under which the legal advisor shall not be considered independent of its appointor include, but are not limited to the following: 1" the legal advisor or any of its subsidiaries is a substantial shareholder or board member in the appointor or in the financial advisor or any of their subsidiaries; 2" a partner of the legal advisor is a substantial shareholder or board member in a controller of the appointor or in the financial advisor or any of their subsidiaries; 3" an employee of the legal advisor, who is involved in the provision of legal advice and service to the person, is a substantial shareholder or board member in the appointor or in the financial advisor or any of their subsidiaries; 4" any partner or board member of the legal advisor or any of its subsidiaries is a substantial shareholder or board member in the appointor or in the financial advisor or any of their subsidiaries; 5" any of the appointer's substantial shareholders or board member or in any of its subsidiaries is a substantial shareholders or board member in the legal advisor or any of its subsidiaries; 6" the appointer of the legal or financial advisor or any of their subsidiaries is a substantial shareholders or board member in the legal advisor or any of its subsidiaries; or 7" the appointer or any of its subsidiaries is a substantial shareholder in a controller of the legal advisor or any of its subsidiaries;
