العرض

يُقصد به في لائحة الاندماج والاستحواذ: أي عرض عام -باستثناء العروض المقدمة من ذات الشركة المعروض عليها-خاضع للائحة الاندماج والاستحواذ ومقدم إلى جميع حاملي الأسهم التي تتمتع بحق التصويت، في الشركة المعروض عليها، وذلك لأي من الغرضين الآتيين: 1" شراء أسهم تتمتع بحق التصويت في الشركة المعروض عليها. 2" تفعيل الاندماج مع الشركة المعروض عليها. وأي إشارة في لائحة الاندماج والاستحواذ إلى مصطلح "عرض" أو "عرض محتمل" يُقصد بها أي من الآتي: 1" اندماج أو اندماج محتمل. 2" عرض أو عرض جزئي لغرض السيطرة، أو عرض محتمل أو عرض جزئي محتمل لغرض السيطرة. 3" عرض جزئي أو عرض جزئي محتمل ليس لغرض السيطرة.

means in the Merger & Acquisition Regulations, a general tender offer, other than the offers provided by the offeree company itself, that is subject to the Merger & Acquisition Regulations, made to all holders of the shares carrying voting rights in the offeree company for any of the following purposes: 1" purchase shares carrying Voting Rights in the offeree company or 2" to effect a merger of the offeree company. Any reference in the Merger & Acquisition Regulations to the term "offer" or "potential offer" shall be construed as the following: 1" a merger or potential merger; 2" an offer or partial offer for takeover, or a potential offer or partial offer for takeover; or 3" partial offer or potential partial offer, not intended for takeover.
