التصرف بالاتفاق

Means, at the sole discretion of the Authority, actively co-operating, pursuant to an agreement "whether binding or non-binding" or an understanding "whether formal or informal" between persons, to be controllers "whether directly or indirectly, excluding indirect ownership of shares through swap agreements or through an investment fund whose unit owner have no discretion in its investment decisions" of a company, through the acquisition by any of them "through direct or indirect ownership" of voting shares in that company. Moreover, “concert parties” shall be construed accordingly. Without prejudice to the general application of this definition, the following persons, shall be presumed to be acting in concert with other persons of the same class unless the contrary is established, including but not be limited to: 1" Members of the same group; 2" a person's relatives; 3" Person"s" who provided financial assistance to the offeror or offeree or members of the group with such person "other than a bank in the ordinary course of business" in order to purchase shares that carry voting rights or convertible debt instruments.
